Differ Group Holding Company Limited (06878) said the company has entered into an agreement with a placing agent and a vendor.
The placing agent has agreed to place 265 million shares at the placing price of HK$0.38 per sale share and the vendor has conditionally agreed to subscribe for, and the company has conditionally agreed to allot and issue up to 265 million new shares at the subscription price of HK$0.38 per subscription share.
The number of the sale shares represents approximately 4% of the issued share capital of the company as enlarged. The placing price represents a discount of approximately 9.52% to the closing price of HK$0.42 per share on the date of the agreement.
The gross proceeds are expected to be approximately HK$100.7 million. The net proceeds are expected to be approximately HK$100.19 million. The company intends to use the net proceeds for the repayment of indebtedness of the group.
