Ribo Bio-B announced that, based on an estimated value of approximately 800 million yuan, it will issue about 14.087 million new shares at HK$56.83 per share under a special mandate to acquire the remaining 49.71% equity interest in its subsidiary Ribocure Pharmaceuticals AB (RP), increasing its stake from 50.29% to 100%.
The group stated that the issue price represents a premium of approximately 12.3% over last Friday's (16th) closing price of HK$50.6. The new shares will account for approximately 7.63% of the enlarged share capital. The minority shareholders selling the remaining 49.71% stake in RP have committed to a 12-month lock-up on the shares received from the group.
The group noted that RP is a clinical-stage biotechnology company incorporated under Swedish law, primarily engaged in the global clinical development and translational research of oligonucleotide therapies, with a particular focus on siRNA drugs targeting cardiovascular, metabolic, liver, kidney, and neurodegenerative diseases. It has five drug discovery and preclinical projects, two of which have advanced to near clinical application stage, as well as two major out-licensing collaboration projects. It recorded a loss of 11.29 million Swedish kronor last year.
